Abstract
Digitalna revolucija je pokrenula digitalnu transformaciju koja utječe na sve aspekte ljudske opstojnosti. Također djeluje i na pravne sustave uvodeći brojne promjene u zakonodavna rješenja. Zbog modernizacije poslovanja države nužno mijenjaju zakonodavni okvir. Posljedično, u pravu trgovačkih društava cilj je osuvremeniti, ubrzati te maksimalno pojednostaviti osnivanje društava te poslovanje istih, povećati učinkovitost te pravnu sigurnost u poslovnom okruženju. U radu se ukratko upoznajemo s pojmom prava društava i njihovim razvojem od osamostaljenja Republike Hrvatske do danas. Detaljnije se analiziraju izmjene Zakona o trgovačkim društvima u svjetlu digitalizacije kao i europskog pravnog okvira. Proučava se utjecaj digitalizacije na konkurentnost i regulatorno natjecanje država članica Europske unije.
Abstract (english)
The digital revolution has started a digital transformation that affects all aspects of human existence. It also affects the legal systems bringing along various changes to legislative solutions. Due to the modernisation of business, countries are changing their legislative framework. As a consequence, the commercial law has a goal of modernise, accelerate and as much as possible simplify the founding and the way they do business, as well as raise effectiveness and legal security in a business surrounding. The paper shortly introduces the term company law and the development since the independence of Croatia until today. The changes of the Company law affected by digitalisation as well as the European legal framework are analysed in detail. The influence of digitalisation on competitiveness and regulatory competition of EU member states is also analysed.
