Abstract
Trgovačke transakcije su transakcije koje se odvijaju kao dvosmjerna davanja između dva poduzeća ili pak između poduzeća i osoba javnog prava. One dolaze pod određenim uvjetima, sa određenim rokovima koje bi trebali poštivati i dužnik i vjerovnik. Ukoliko dođe do nepoštivanja ugovorenih pravila, posebice rokova plaćanja, dolazi do nereda u poslovanju i potencijalnih gubitaka koji mogu ugroziti poslovanje obje stranke. Kako bi zaštitili poduzetnike od neurednih platiša, zakonodavac je donio Zakon o financijskom poslovanju i predstečajnoj nagodbi koji djeluje zajedno, usklađen s Direktivom 2011/07/EU koju je donijelo Vijeće Europske unije i Europski parlament radi uvođenja reda u financijsko poslovanje osoba koje djeluju na tržištu radi ostvarivanja dobiti. Oni uvode mjere kojima se ograničava autonomija volje stranaka pri određivanju rokova za ispunjenje novčanih obveza te mjere kojima se to nepoštivanje sankcionira. Cilj navedenog Zakona i Direktive je ostvariti solventnost i likvidnost subjekata koji djeluju na tržištu i tim putem potaknuti i ostvariti sve uspješnije financijsko poslovanje i samim time stabilizirati i gospodarstvo.
Abstract (english)
Commercial transactions are transactions that take place as two-way payments between two undertakings or between undertakings and public authorities. They come under determined conditions and deadlines that should be respected by both the debtor and the creditor. If contracted rules are disrespected, especially payment deadlines, potential losses may occur negatively affecting businesses of both parties. To protect entrepreneurs from late payments, legislator passed The Financial Transactions and Pre-Bankruptcy Settlement Act that acts together, in compliance with Directive 2011/7/EU of the European Parliament and of the Council, to bring order in financial management of people active on the profit-making market. They install measures to limit the autonomy of the parties' will in determining the payment deadlines as well as the measures to sanction disrespecting the contracted rules. The aim of the above-mentioned Act and Directive is to achieve solvency and liquidity of the subjects active on the market as well as to encourage and achieve more successful financial business resulting in stable economy.
